Midas Terms of Use

1. Eligibility

You must be at least eighteen (18) years old and have reached the legal age of majority in your jurisdiction to create an account, submit material, enter a competition, purchase coverage or use services requiring registration.

Midas does not offer a parental-consent entry option for individuals under 18.

Midas may request reasonable information necessary to verify eligibility.

Participation in a competition is void where prohibited. Because some states do not allow an entry fee for a skill contest, competitions are not open to residents of Colorado, Maryland, Nebraska, North Dakota, or Vermont. An entry from one of those states is void and its fee is refunded.

2. Accounts

You are responsible for maintaining accurate account information and protecting your login credentials.

You may not create an account using another person’s identity or knowingly provide false or misleading information.

You are responsible for activity occurring through your account unless you promptly notify Midas of unauthorized access.

3. Additional Terms for Specific Services

Certain Midas services are governed by additional terms.

Participation in a Midas competition is subject to the applicable Official Competition Rules and Competition Submission Release & Acknowledgment.

Purchasing or uploading material for coverage is subject to the Coverage Services Terms & Upload Acknowledgment.

Those additional terms become part of your agreement with Midas when you use the applicable service.

If service-specific terms conflict with these general Terms regarding that particular service, the service-specific terms will control with respect to that matter.

4. Ownership of Creative Material

You retain copyright and ownership in screenplays, stories and other creative material submitted to Midas, except for limited permissions expressly granted in applicable competition, coverage or service terms.

Uploading or submitting material does not by itself transfer ownership of your screenplay, story, copyright or underlying intellectual property to Midas.

5. No Automatic Option or Shopping Rights

Submitting material to Midas does not automatically grant Midas an option, exclusive shopping right, acquisition right, ownership interest or other exclusive right in your project.

Any option, shopping, development, acquisition, financing, production or other rights arrangement must be established through a separate written agreement signed by the applicable parties unless expressly stated otherwise in applicable Official Competition Rules.

6. Acceptable Use

You may not use the Midas platform to:

• submit material you do not own or have authority to submit;
• impersonate another person;
• knowingly provide false eligibility or ownership information;
• upload malicious software or harmful files;
• interfere with platform security;
• attempt to manipulate competition judging or eligibility;
• plagiarize another person’s work;
• gain unauthorized access to another writer’s material; or
• otherwise misuse Midas systems or services.

7. Payments

Certain Midas services require payment.

Payments may be processed through authorized third-party payment processors.

Where payment-card information is collected directly by a third-party payment processor, Midas does not store complete payment-card numbers on its own servers.

Specific payment and refund terms applicable to competitions or coverage are disclosed at the point of purchase and in applicable service-specific terms.

8. No Guaranteed Professional Outcome

Use of Midas services does not guarantee representation, employment, financing, production, distribution, acquisition, optioning, shopping, development, competition advancement or any other entertainment-industry opportunity unless a specific benefit is expressly stated in applicable written rules or a separate written agreement.

9. Suspension and Termination

Midas may suspend an account or restrict access where Midas reasonably believes a user violated these Terms, applicable competition or coverage rules, committed fraud or plagiarism, misrepresented ownership or eligibility, interfered with Midas systems or created a material security risk.

10. Technical Availability

Midas does not guarantee uninterrupted availability of its website or services.

Temporary outages, maintenance, third-party failures, internet interruptions and other technical problems may occur.

Midas will make reasonable efforts to maintain its services but is not responsible for circumstances outside its reasonable control.

11. Midas Intellectual Property

The Midas name, branding, website design, logos, graphics, text, software and other content created or owned by Midas remain the property of Midas or the applicable rights holder.

Nothing in these Terms transfers Midas intellectual property to a user.

12. Updates to Legal Terms

Midas may update these Terms, its Privacy Policy, competition rules, submission releases, coverage terms and other policies from time to time to reflect changes in services, operations, technology, security practices, applicable law or legal guidance.

The effective or version date of each applicable document will identify the applicable version.

Except where otherwise required by law or separately agreed to by an entrant, the version of the applicable Official Competition Rules and Submission Release in effect when an entry is submitted will generally govern that entry.

If a material update affects an existing user’s ownership rights, obligations, eligibility, prizes, submitted material or other significant rights, Midas may provide notice and may require the user to affirmatively review and accept the revised terms before continuing to use the affected service.

Midas will not retroactively reduce an awarded prize or materially change rights applicable to a completed entry solely through a later website update except where required by law or separately agreed to by the affected entrant.

13. Electronic Acceptance

Where Midas presents an electronic checkbox or other acceptance mechanism, your affirmative acceptance constitutes your agreement to the applicable terms.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Midas will not be liable for indirect, incidental, consequential or special damages arising from use of the website or services, technical failures, unauthorized third-party activity or circumstances outside Midas’s reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Midas Management Group Inc., Midas Entertainment Group Inc., their affiliates and their respective officers, directors, employees, representatives, contractors and agents from third-party claims, liabilities, damages, losses and reasonable costs arising from your violation of these Terms, infringement of another person’s rights or false representations regarding material you submit.

16. Notice to California Users

Under California Civil Code section 1789.3, California users are entitled to this notice.
