Coverage Services Terms & Upload Acknowledgment

1. Coverage Service

Midas provides evaluative feedback and coverage relating to screenplays, stories and other eligible written material.

Coverage represents analysis or opinion regarding submitted creative material.

2. Ownership

You retain copyright and ownership of all material uploaded for coverage.

Uploading material for coverage does not transfer ownership of your screenplay, story or underlying copyright to Midas.

3. Permission to Process Material

By uploading material for coverage, you authorize Midas to receive, securely store, process, reproduce internally and provide the material to authorized personnel, reviewers, contractors and service providers as reasonably necessary to prepare, administer, secure and deliver the coverage service requested.

4. No Option or Shopping Rights

Uploading material for coverage does not grant Midas an option, exclusive shopping right, acquisition right, ownership interest or other exclusive right in your project.

Any future entertainment-industry rights arrangement requires a separate written agreement signed by the applicable parties.

5. Private Handling

Midas treats material uploaded for coverage as private, unpublished creative material.

Access is limited to persons and service providers reasonably necessary to provide, administer or secure the coverage service.

Midas will not knowingly publish complete uploaded material to the general public without authorization except where required by law.

6. AI-Assisted Coverage

Certain Midas coverage services may use artificial-intelligence technology to assist in preparing an initial analysis.

AI-assisted material is subject to Midas’s applicable human review and/or release process before delivery.

Midas does not use submitted screenplays, stories or other creative material to train or fine-tune generative AI models.

Where third-party AI tools are used to provide a requested coverage service, material may be processed by the applicable service provider subject to Midas’s technical settings, contractual arrangements and the provider’s applicable terms.

7. Coverage Does Not Affect Competition Judging

Purchasing, receiving or declining coverage does not improve, influence or otherwise affect competition judging, ranking, advancement, Finalist selection, Genre Winner selection or Grand Prize eligibility.

Coverage is separate from competition judging.

8. Coverage Is an Opinion

Coverage consists of evaluative feedback and does not guarantee any particular score, evaluation, contest result, representation, financing, option, acquisition, development, production, distribution or professional outcome.

9. Similar Material

Midas and its affiliates receive, review, develop and participate in numerous creative projects.

Material uploaded for coverage may contain ideas, concepts, themes, premises, characters, settings, situations or other creative elements similar to projects independently developed, received, acquired or produced by Midas or others.

Similarity alone does not establish that Midas used or copied uploaded material.

Nothing in this provision authorizes Midas to infringe protectable copyrighted expression.

10. Upload Authority

By uploading material, you represent that you own or control all rights necessary to upload the material or otherwise have authorization from the applicable writer or rights holder to obtain coverage.

11. Co-Writers and Third-Party Uploads

If you upload material written or owned by multiple people, you represent that you possess authority to obtain coverage on behalf of the applicable writers or rights holders.

12. Fees

Coverage fees are charged for the requested evaluation service.

Payment does not guarantee a particular evaluation, score or professional result.

13. Refunds

Coverage refunds, if any, are governed by the refund terms displayed at the time of purchase and applicable law.

14. Technical Problems

Midas is not responsible for uploaded files that are lost, corrupted, inaccessible or improperly submitted because of circumstances outside Midas’s reasonable control.

You are responsible for maintaining your own original and backup copies.

15. No Implied Relationship

Purchasing coverage does not create an employment, representation, partnership, agency, fiduciary, development, production, option, shopping or acquisition relationship between you and Midas.

16. Updates

These Coverage Services Terms may be updated from time to time.

The applicable version will be identified by its effective date.

Material changes affecting an existing coverage order may require additional affirmative acceptance.

17. Electronic Acceptance

Checking the required acceptance box and completing your coverage order constitutes your electronic agreement to these Coverage Services Terms, the Midas Terms of Use and Privacy Policy.
